Gerald V. Niesar, partner at the law firm of Niesar & Vestal, was admitted to the California State Bar in January, 1970. In his fifty years as a practicing attorney, Mr. Niesar has represented both public and private companies as well as individuals. Areas of concentration and particular expertise include entity formation and structuring, securities laws, mergers and acquisitions, and restructuring troubled companies (both in bankruptcy and non-statutory). With his broad range of experiences, Mr. Niesar is often able to develop creative solutions to complex legal problems. He is sought as an expert witness and expert consultant, particularly in the areas of fiduciary duties, business attorney malpractice issues, securities laws and closely-held entity disputes.
Mr. Niesar has handled virtually every type of legal issue that a business may encounter including both public and private securities offerings, mergers, acquisitions and sales of assets, complex strategic partner relationships, financing transactions, IP licensing, executive compensation and employment disputes.
Gerald Niesar graduated from the Wharton School at the University of Pennsylvania with a Bachelor of Science in Economics in 1962. Following four years of active duty with the U.S. Navy, where he attained the rank of Lieutenant (SC) USN, Mr Niesar entered the University of Pennsylvania Law School, graduating with an LL.B, cum laude, in 1969. He served on the Penn Law School Law Review, and was awarded Order of the Coif. Mr. Niesar is conversant in German.
In addition to membership in the California Bar, Mr. Niesar has been an active member of the American Bar Association since 1970. At the ABA, important assignments have included Chair of the Business law Section Partnership Committee, Co-Chair of a Special Committee to advise on revisions to the Bankruptcy Code with respect to treatment of Partnerships and Partners, and Co-Chair of a Sub-Committee of the Partnership Committee that assisted the National Conference of Commissioners on Uniform State Laws on what became the Revised Uniform Partnership Act. He was also instrumental in formation of an Ad Hoc Committee of the Business Law Section seeking a solution to the “finders” problem by licensing or otherwise legitimizing of finders as authorized specialists to assist formation of capital for small businesses.
Mr. Niesar is one of three authors of a three-volume Forms and Practice Manual, published in by Data Trace Publishers in 1994 and updated annually, which covers Limited Liability Companies (California and Nevada) as well as Limited Liability Partnerships. He was also co-author, focusing on securities laws, partnerships and corporations, of a two-volume work, Business Lawyer’s Bankruptcy Guide, published by Clark Boardman Callaghan in 1991. He has written and had published numerous articles on a wide range of subjects including LLCs, employment law, partnerships, and securities law.
Mr. Niesar is rated AV Preeminent (highest rating) by Martindale Hubbell, and has been named a Super Lawyer by the publication of that name.
Mr. Niesar is married to the former Ortrun Koch. They are parents of three children and grandparents of two.
